[ DELIVERY, ACCEPTANCE, INSTALLATION ]

The quoted delivery period is from receipt of a firm purchase order to the factory acceptance test. Disassembly and shipment can add up to 10 working days to delivery on site. A mandatory condition of order receipt includes factory and on site acceptance tests. The purchase order acknowledgement will estimate a completion date at the Vernon factory whereupon buyer representatives will visit the Vernon factory. Upon arrival buyer personnel are introduced to the equipment, witness cutting operations, and begin operating and maintenance training. The purpose of the acceptance test is to familiarize the customer with the equipment, to correct or modify any nonconforming conditions, to clarify necessary site improvements and insure expeditious on-site installation, and to initiate working relationships between buyer and seller staff. Prior to departure both buyer and seller execute a Factory Acceptance Certification. The certificate confirms the equipment complies with all specifications outlined in the purchase order and that it is ready for immediate disassembly and shipment. When the machine arrives on site, the buyer is responsible for unloading, uncrating, and re-assembly in accordance with Vernonís installation instructions. It is the buyer's responsibility to complete all site improvements and reconnect pneumatic, hydraulic, and electrical services. Upon completion of preliminary installation, a Vernon technician arrives on-site to inspect the installation, apply electrical service, and calibrate the machinery. Factory acceptance tests are duplicated and operator and maintenance training is repeated. Typically production quality samples are produced within one to two days of his arrival on site. Prior to his departure, both parties execute the On-site Acceptance Test to confirm successful completion of the order.

[ PRODUCT WARRANTY ]

Vernon warrants to the original purchaser that all components and parts of its machines are free from defects in material and workmanship which result in breakdown or other failure under normal use within a period of one (1) year from date of shipment to such purchaser, provided that Vernon is given written notice of claim not later than ten (10) days following the end of the warranty period. All components purchased by Vernon carry the original manufacturer's warranties and guaranties. Upon notification of non-conforming or inoperative parts, Vernon reserves the right to inspect and is liable only for the repair and/or replacement of such parts. Vernon's obligation under this warranty shall be limited to the repair or replacement at its option at no expense to the original purchaser (except as to breakdown or failures occurring more than six (6) months after shipment, for which such purchasers shall pay Vernon's labor cost of repair or replacement if necessary) of any components or parts thereof which Vernon's examination proves to be defective. The original purchaser is responsible for shipping charges to Vernon's factory for all warranty repairs.

This warranty does not apply to any equipment or component thereof which has been subject to misuse or accident or improper installation, maintenance or application, or to any parts which are subject to wear and deterioration under normal circumstances such as lenses, fuses, lamps, scrapers, electrodes, shunts, emitters, cutting nozzles and the like. This warranty similarly does not cover routine mechanical, electrical and electronic adjustment such as are described and explained in the instruction manuals furnished with the machines. Such adjustments are the responsibility of the original purchaser.

This warranty also does not cover the repair and/or replacement of electrical or electronic parts damaged by improper voltage supplies, improper electrical connections to the machine or improper electrical grounding techniques.

Arc welding performed on any part of any machine without the express approval of a Vernon representative, or authorized substitute, will automatically void this warranty.

Where the sale of equipment includes computer software, Vernon Tool Company warrants the diskette and documentation to be free of defects in materials and workmanship for a period of 90 days from the date of purchase. Upon notification in writing of defects in material or workmanship, Vernon Tool will replace the defective documentation or diskette. This warranty shall be limited to replacement and shall not include any other damages, including but not limited to loss of profit, special, incidental, consequential or other damages.

This warranty and the obligations and liabilities of Vernon hereunder are exclusive and in lieu of, and the original purchaser hereby waives, all other remedies, warranties, guarantees or liabilities, express or implied, arising by law or otherwise (including, without limitation, any obligations of Vernon with respect to fitness of the machines for a particular use or purpose, merchantability of the machines and consequential damages), or whether or not occasioned by Vernon's negligence. This warranty may not be extended, altered or varied except by a written instrument signed by a duly authorized officer of Vernon.
